Aspire Clinical Education (“we”, “us”, “our”) is a UK-based training provider.

These Terms and Conditions apply only to individual learners booking for themselves as consumers.

If you are booking on behalf of an organisation, employer, or business, separate

Business Terms and Conditions apply.

A legally binding contract is formed when:

• You make a booking, and

• We confirm that booking by email.

These Terms apply from that point onwards and do not affect your statutory rights.

By booking or attending our Services, you confirm that you have read, understood,

and agree to be bound by these Terms.

If you do not agree, you must notify us within 2 business days of receiving

your booking confirmation.

Entire Agreement

These Terms constitute the entire agreement between Aspire Clinical Education and

the Learner in relation to the Services and supersede any prior agreements,

understandings, or arrangements, whether oral or written. Nothing in this Agreement

creates a partnership, joint venture, agency, or employment relationship.

Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision

shall be severed and the remaining provisions shall remain in full force and effect.

DEFINITIONS

• You / Learner / Client: The individual booking and attending the training

• Services: Training or education provided by Aspire Clinical Education

• Fees: The price payable for the booked Services

• Agreement: These Terms together with your booking confirmation email

• Business Day: Monday to Friday, excluding UK public holidays.

1. OUR SERVICES

We will deliver the Services with reasonable care and skill, in line with recognised

UK standards for health, social care, and clinical education.

We may make reasonable changes to course content, materials, trainers, venue, or

delivery method (including remote delivery), provided learning outcomes are not

materially affected.

We may take non-identifiable photographs during training for quality assurance or

promotional purposes. No identifiable images will be used without prior consent.

Aspire Clinical Education reserves the right to cancel or reschedule a course if

minimum learner numbers are not met. Learners will be offered an alternative date or

a refund.

2. INTELLECTUAL PROPERTY RIGHTS

All materials provided as part of the Services (“Content”), including text, images,

video, presentations, and graphics, are protected by UK copyright and intellectual

property laws and remain the property of Aspire Clinical Education or its licensors.

You must not copy, reproduce, modify, distribute, sell, or republish any Content

without prior written consent.

The Content is provided for the Learner’s personal use only and must not be used,

adapted, or relied upon to deliver, support, or develop any training or education for

others without the prior written consent of Aspire Clinical Education.

Audio or video recording of training is strictly prohibited.

Any breach of this section may result in immediate termination of access to the

Services and other remedies available to us.

Links to third-party platforms (including YouTube) are provided for convenience only.

Aspire Clinical Education is not responsible for third-party content, outages, or

changes to external platforms.

3. LEARNER RESPONSIBILITIES

By booking and attending training, you agree to:

• Provide accurate and complete information

• Attend the full duration of the session

• Engage appropriately and follow trainer instructions

• Act safely and within your scope of practice

• Work only within your physical capability

You must:

• Be able to understand and communicate effectively in English

• Arrive on time and fit to participate

Late arrival, failure to engage, unsafe practice, fatigue (e.g. attending after a night

shift), or behaviour that compromises safety may result in:

• Removal from the session

• Withholding of certification

• No refund or reschedule

We reserve the right to refuse entry to, or remove a learner from, training where

behaviour, conduct, or health and safety concerns pose a risk to themselves or

others. In such cases, no refund will be issued.

Named Learner Requirement

All bookings are made for a named individual and are non-transferable.

The person named on the booking must be the person who attends the training and

receives certification.

Substitutions or name changes are not permitted for individual learner bookings

unless agreed in writing in advance.

Attendance by a different person without prior written approval will be treated as nonattendance, and no refund will be issued.

4. PAYMENT TERMS

Full payment is required no later than 10 business days before the training date.

If payment is not received by the due date, we reserve the right to cancel the

booking and release the training place.

Where a booking is retained at our discretion despite late payment, we may charge a

one-off late payment administration fee of £15 to reflect reasonable administrative

costs. This fee is not a penalty.

5. CANCELLATIONS AND DATE CHANGES

Consumer Right to Cancel

If you are booking as a consumer, you have a legal right to cancel within 14 days of

booking, unless:

• Training has already started, or

• Training has been completed within that period

If training begins within the 14-day period and you later cancel, you may be charged

for services already provided.

Cancellation Charges

• 28 days or more notice: No charge

• 22–28 days’ notice: 30% of course fee

• 15–21 days’ notice: 45% of course fee

• 8–14 days’ notice: 60% of course fee

• 7 days or less or non-attendance: 100% of course fee

All cancellations must be made in writing by email and acknowledged by us.

Date Changes

Date changes are subject to availability and written confirmation.

• 28+ days’ notice: No charge

• 15–27 days’ notice: £15 administration fee

• 8–14 days’ notice: £25 administration fee

• 7 days or less: £40 administration fee

If a booking is rescheduled and later cancelled, cancellation charges will be

calculated from the original booking date.

Cancellation by Aspire Clinical Education

We may cancel or reschedule training due to minimum learner amount not met, trainer illness, urgent personal circumstances, safety concerns, or events beyond our reasonable control. Where possible, an alternative date will be offered. If rescheduling is not possible, a refund will be issued.

6. LIABILITY AND INSURANCE

Aspire Clinical Education holds appropriate and valid Public Liability Insurance and

Professional Indemnity Insurance in relation to the Services it provides. Evidence of

insurance can be made available upon request.

We will deliver training and related services with reasonable care and skill, in

accordance with applicable professional standards.

Nothing in these Terms limits or excludes our liability for:

• Death or personal injury caused by our negligence

• Fraud or fraudulent misrepresentation

• Any matter which cannot legally be excluded or limited

Subject to the above, Aspire Clinical Education is not liable for:

• Any loss, injury, or damage arising from a learner’s failure to follow

instructions or safety guidance

• Any actions taken by a learner following training

• Any reliance placed on training outside the learner’s scope of competence or

professional role

Attendance at training does not deem competence. Responsibility for safe practice

remains with the learner and, where applicable, their employer or professional

regulator.

7. FORCE MAJEURE

Neither party shall be liable for failure or delay caused by events beyond reasonable

control, including severe weather, pandemics, government action, transport

disruption, or IT system failure.

8. CONFIDENTIALITY AND DATA PROTECTION

Aspire Clinical Education is committed to protecting the privacy and confidentiality of

learners and complies with the UK General Data Protection Regulation (UK GDPR)

and the Data Protection Act 2018.

We collect and process personal data for the purposes of managing bookings,

delivering training, issuing certificates, communicating with learners, and meeting

legal, regulatory, and safeguarding obligations. This may include contact details,

attendance records, certification details, and related communications.

Where necessary, we may process limited special category data (such as health or

access requirements) to support reasonable adjustments or ensure learner safety.

Such data will only be processed where there is a lawful basis and appropriate

safeguards in place.

All personal data is stored securely, and access is restricted to authorised personnel

only. Data is retained only for as long as necessary for service delivery, certification,

and legal or insurance requirements, after which it is securely deleted or

anonymised.

Personal data will not be shared with third parties except where required by law, for

safeguarding purposes, where necessary for certification, or where the learner has

given explicit consent.

Learners have the right to access, correct, restrict, or request deletion of their

personal data, and to object to its processing. Requests should be made to

training@aspireclinicaleducation.co.uk.

Confidentiality will be maintained and only breached where:

• There is a safeguarding concern, or

• There is a legal duty to disclose

9. CERTIFICATES

• Certificates are issued to named individuals only

• Certificates are valid for 1 year, unless stated otherwise

• Certificates are issued electronically (PDF)

Certificates will be issued within 10 working days following successful completion

and payment.

Replacement digital certificates: £5

Printed certificates (optional): £15

Learners will write names on a register on attendance to the training day. Aspire

Clinical Education will follow exact spelling and grammar from this list for

certification. Certificates will be issued exactly as recorded on the attendance

register. Learners are responsible for ensuring their name is recorded correctly at the

time of attendance. No name changes due to spelling or grammatical errors will be

provided to certificates unless this is fault of Aspire Clinical Education.

Certificates will not be issued where a learner does not complete the full session, is

removed for safety or conduct reasons, or fails to meet course participation

requirements.

10. CPD ACCREDITATION AND RECOGNITION

Where stated, Aspire Clinical Education courses are accredited by the CPD

Standards Office. This accreditation confirms that the training has been

independently assessed against recognised Continuing Professional Development

(CPD) quality standards, including learning objectives, content structure, delivery

methods, and relevance to professional development.

CPD accreditation confirms the quality and educational value of the training only. It

does not constitute professional qualification, authorisation to practice, confirmation

of role competence, or regulatory approval.

Recognition and acceptance of CPD-accredited training is determined solely by

employers, commissioning organisations, professional bodies, or regulators. Aspire

Clinical Education cannot guarantee that CPD-accredited training or certificates will

be accepted by all employers or organisations.

Individuals booking training are responsible for confirming in advance whether the

course, certification, or CPD accreditation meets the requirements of their employer,

role, or professional body.

No refunds will be issued on the basis that an employer or organisation does not

recognise or accept CPD accreditation, where the training has been delivered in

accordance with the published course description.

11. CLINICAL PRACTICE, COMPETENCE AND POST-TRAINING RESPONSIBILITY

Training provided by Aspire Clinical Education is for educational purposes only.

Aspire Clinical Education does not authorise, delegate, or approve learners to

perform clinical procedures in practice, nor does it assume responsibility for a

learner’s actions, clinical decisions, or ongoing competence following training.

Any skills demonstrated or observed reflect performance at the time of training only

and do not guarantee future competence or safe practice. Responsibility for

determining competence, authorising practice, supervision, and scope of role rests

with the learner and, where applicable, their employer, regulator, or commissioning

organisation.

Completion of training does not constitute a professional qualification or confer any

right to practise beyond the learner’s existing role or authorisation. Aspire Clinical

Education shall not be liable for acts performed in clinical practice following training,

except where required by law.

Nothing in this clause limits our obligation to deliver training with reasonable care

and skill or affects statutory rights.

12. COMPLAINTS

Complaints must be submitted in writing within 2 months of the issue occurring.

We aim to respond within 10 working days.

If a learner remains dissatisfied after our response, they may request an internal

review.

13. EQUALITY, DIVERSITY AND REASONABLE ADJUSTMENTS

Aspire Clinical Education is committed to promoting equality, diversity, and inclusion

in all aspects of its training and service delivery.

We do not tolerate discrimination, harassment, or victimisation on the grounds of any

protected characteristic under the Equality Act 2010, including age, disability, gender

reassignment, marriage or civil partnership, pregnancy or maternity, race, ethnicity or

nationality, religion or belief, sex, or sexual orientation.

All learners are expected to treat trainers, staff, and fellow learners with dignity and

respect. Discriminatory, offensive, or disruptive behaviour may result in removal from

the course without refund.

Reasonable Adjustments

We will make reasonable adjustments to support learners with disabilities, long-term

health conditions, learning needs, or other access requirements. Learners are

encouraged to notify us of any requirements as early as possible, ideally at the time

of booking.

While we will make every reasonable effort to accommodate individual needs,

adjustments may be limited by the nature of the training, the learning environment, or

safety and regulatory requirements. Where an adjustment cannot reasonably be

made, we will discuss this with the learner and explore suitable alternatives where

possible.

Aspire Clinical Education is committed to maintaining a learning environment that is

safe, inclusive, and supportive, promotes professional behaviour, and encourages

participation and learning.

Any concerns relating to equality, discrimination, or accessibility should be raised

promptly so they can be addressed appropriately.

14. DISCLAIMER

By attending training, you acknowledge that:

• Participation is voluntary

• You must follow all safety guidance

• Training does not deem competence

• Materials are educational and not legal or medical advice

You must work only within your scope of competence and physical ability.

Learners must ensure they are physically and mentally fit to participate in practical

training. If you have any medical condition, injury, or health concern that may affect

safe participation, you must inform us in advance. We reserve the right to restrict

participation in practical activities where safety may be compromised.

These Terms are governed by the laws of England and Wales, and the courts of

England and Wales shall have exclusive jurisdiction.

We are Aspire Clinical Education ("Company," "we," "us," "Service provider," or

"Services"), a company registered in the United Kingdom. Our registered company

address is 10 Rutland Avenue, Pontefract, West Yorkshire, WF8 3RD. We operate the

website www.aspireclinicaleducation.co.uk and provide a range of healthcare services

to business and individual clients ("Client," "Customer"). The Client can contact us by

email at training@aspireclinicaleducation.co.uk.

A contract is formed between the Client and Aspire Clinical Education when a booking

is made by the Client and confirmed via email by Aspire Clinical Education, and these

terms will apply thereafter. These terms will be sent with a confirmation email and

invoice. These conditions do not affect the Client's statutory rights.

These Legal Terms and Conditions constitute a legally binding agreement made

between the Client, whether personally or on behalf of an entity, and Aspire Clinical

Education, concerning the Client's access to and use of the Services. The Client agrees

that by accessing the Services, the Client has read, understood, and agreed to be

bound by all these Legal Terms. If the Client does not agree with all these Legal Terms,

the Client is expressly prohibited from using the Services and must discontinue use

immediately.

If the Client does not agree to these terms, the Client must contact Aspire Clinical

Education via email at training@aspireclinicaleducation.co.uk within 2 business

days of receipt of these terms.

Supplemental terms and conditions or documents that may be posted periodically on

the Services are incorporated by reference into these Legal Terms. We may modify

these Legal Terms at our discretion. Any changes will be communicated by updating the

"Last updated" date. It is the Client's obligation to review these Legal Terms regularly.

Continued use after revisions indicates acceptance.

These Terms and any dispute or claim arising out of or in connection with them or their

subject matter shall be governed by and construed in accordance with the laws of

England and Wales. The parties agree that the courts of England and Wales shall have

exclusive jurisdiction to settle any such disputes. This does not affect the Client’s

statutory rights under the laws of their country of residence in the United Kingdom.

The Services are designed exclusively for individuals who are 18 years of age or older.

Individuals below this age are prohibited from using or registering for the Services.

Entire Agreement

These Terms and Conditions constitute the entire agreement between Aspire Clinical

Education and the Client in relation to the Services and supersede any prior

agreements, understandings, or arrangements, whether oral or written.

Nothing in this Agreement shall be construed as creating a partnership, joint venture,

agency, or employment relationship between Aspire Clinical Education and the Client.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision

shall be struck out and the remaining provisions shall remain in force.

Only the most current version of Aspire Clinical Education’s Terms and Conditions shall

apply to the Services, as indicated by the “Last updated” date at the top of the

document.

Previous versions shall be deemed superseded unless expressly agreed otherwise in

writing by Aspire Clinical Education. It is the Client’s responsibility to ensure they are

referring to the most up-to-date version at the time of booking.

We recommend that the Client print a copy of these Legal Terms for their records.

Definitions and Interpretation:

In these Terms and Conditions, unless the context indicates otherwise, the following

terms shall have the meanings assigned to them:

"Agreement" refers to the contract established between the Service Provider and the

Client after booking, which includes these Terms and Conditions (or any mutually

agreed variations) that will regulate the delivery of the Services. This is confirmed via

email.

“Attendee” refers to an individual who attends the booked training session.

"Business Day" denotes any day, excluding Saturday and Sunday, when standard

banks in the United Kingdom, are operational for their full range of services.

"Client" or “Customer” identifies the entity, whether business or individual, obtaining

Services from Aspire Clinical Education, as specified in the Agreement.

"Commencement Date" indicates the date on which the Services will begin, as outlined

in the Agreement.

"Confidential Information" pertains to any information shared between both Parties in

connection with the Agreement, regardless of the medium or whether it is marked as

confidential.

"Fees" encompasses all payments owed to Aspire Clinical Education by the Client as

detailed in the Agreement.

"Services" signifies the offerings provided by Aspire Clinical Education to the Client in

accordance with the Agreement, fully defined therein and subject to its terms.

"Term" refers to the duration of the Agreement as specified within.

Privacy Policy

1. OUR SERVICES

Commencing from the effective date, Aspire Clinical Education will deliver the Services

to the Client for the duration of the Agreement.

Aspire Clinical Education shall be equipped with a level of skill and care that aligns with

the established standards in the Health and Social Care, First Aid, and Health and

Safety training sectors within the United Kingdom.

Aspire Clinical Education must ensure compliance with all applicable laws, regulations,

byelaws, standards, codes of conduct, and any other relevant rules pertaining to the

delivery of the Services.

Aspire Clinical Education is required to follow all reasonable directives issued by the

Client, provided these directives align with the Service specifications outlined in the

Agreement. Aspire Clinical Education shall make all reasonable efforts to accommodate

any sensible and legitimate modifications to the Services requested by the Client,

contingent upon the Client's agreement to any corresponding adjustments in Fees that

may arise from such modifications.

Aspire Clinical Education reserves the right to make reasonable modifications to course

content, materials, or delivery methods (including switching to remote delivery where

appropriate and suitable to the nature of the training), provided that such changes do

not materially affect the overall learning outcomes. Certain clinical skills sessions are

delivered face-to-face only and we reserve the right to refuse remote delivery where this

would compromise safety, learning outcomes, or professional standards. Clients will be

notified of significant changes in advance.

2. INTELLECTUAL PROPERTY RIGHTS

The materials provided within the Services (also referred to as the "Content"), which

encompass video, text, images, presentations, and graphics, are safeguarded by

copyright laws in the United Kingdom, as well as by other intellectual property rights.

This Content is owned by us or our licensors. The Client is prohibited from copying,

altering, reproducing, republishing, distributing, or selling the Content without obtaining

prior written consent from Aspire Clinical Education and their licensors. Additionally, the

Client is required to comply with all copyright notices and restrictions associated with

the Content. The Client acknowledges that they do not possess the right to access any

part of the Services in source code form.

Aspire Clinical Education may offer links to external websites or online resources solely

for convenience and quality of training; however, these links do not indicate our

endorsement of those sites or their content, which we do not control or monitor. The

Client accesses these links at their own risk and should exercise appropriate caution

and judgment. The Client acknowledges that Aspire Clinical Education bears no

responsibility or liability for any information, software, or materials available on any

external website or resource. Additionally, Aspire Clinical Education may collaborate

with third parties who will engage with the Client according to their own terms of service.

One such third party is YouTube, and by utilizing the Sites or Services, the Client

agrees to adhere to the YouTube Terms of Service available here.

Aspire Clinical Education is not responsible for third-party platform outages, service

changes, or terms that affect the Client’s access to linked resources.

If you wish to make any use of the Services Materials or Content other than as set out in

this section or elsewhere in our Legal Terms, please address your request to:

training@aspireclinicaleducation.co.uk. If we ever grant you the permission to post,

reproduce, or publicly display any part of our Services or Content, you must identify us

as the owners or licensors of the Services, Content, or Marks and ensure that any

copyright or proprietary notice appears or is visible on posting, reproducing, or

displaying our Content.

We reserve all rights not expressly granted to you in and to the Services, Content, and

Marks. The Client must not modify any paper or digital copies of any materials that have

been provided, printed off, or downloaded in any way, and must not use any

illustrations, photographs, video or audio sequences or any graphics separately from

any accompanying text.

Any breach of these Intellectual Property Rights will constitute a material breach of our

Legal Terms and your right to use our Services will terminate immediately and legal

action may be taken.

3. CLIENT’S OBLIGATIONS

By utilising the Services, the Client affirms and guarantees that: (1) all registration

details provided are truthful, precise, up-to-date, and complete; (2) the Client will ensure

the ongoing accuracy of this information and will promptly make any necessary updates;

(3) the Client possesses the legal authority and agrees to adhere to these Legal Terms;

(4) the Client will not access the Services through automated or non-human methods,

including bots, scripts, or similar means; (5) the Client will refrain from using the

Services for any unlawful or unauthorized activities; and (6) Client engagement with the

Services will comply with all relevant laws and regulations.

Should the Client submit any information that is false, inaccurate, outdated, or

incomplete, we reserve the right to suspend or terminate the account and deny any

current or future access to the Services, in whole or in part.

The Client shall make all reasonable efforts to supply Aspire Clinical Education with all

relevant information necessary for the effective delivery of the Services.

The Client is responsible for their employees and all obligations under these Terms. The

Client shall use all reasonable endeavours to ensure that any employees booked on

training courses attend such courses. The Client is responsible for their employees’

compliance with these Terms.

The Client may periodically issue reasonable directives to the Service Provider

regarding the provision of the Services, ensuring that such directives align with the

specifications outlined in the Agreement and will only be granted after in-depth

discussion and confirmation from Aspire Clinical Education.

Should Aspire Clinical Education require any decision, approval, consent, or other

communication from the Client to proceed with the Services or any portion thereof, the

Client shall provide this in a timely and reasonable manner.

Where Services involve tailored training, competency assessment, care planning, risk

assessment, or any activity requiring access to personal, clinical, or care-related

information, the Client must ensure that appropriate and valid consent has been

obtained prior to the commencement of the Services.

This includes consent for Aspire Clinical Education to receive, review, and discuss

relevant information such as care plans, risk assessments, medical information, and

supporting documentation, and to contact relevant parties for information-gathering

purposes where required.

Aspire Clinical Education will require completion of a consent to information form and/or

written confirmation of consent prior to commencing Services.

Aspire Clinical Education reserves the right to decline, pause, or withdraw from Services

where appropriate consent has not been obtained or cannot be reasonably confirmed.

It is the Client's responsibility to secure any necessary consents, licenses, or

permissions from third parties, such as landlords or local authorities, prior to the

commencement of the Services.

If Aspire Clinical Education necessitates access to the Client’s home, place of business

or any other location under the Client's lawful control, the Client must ensure that the

Service Provider can access these locations at mutually agreed times.

Any delays in the provision of the Services due to the Client's failure or delay in

adhering to the provisions of Section 3 of the Terms and Conditions shall not be

attributed to Aspire Clinical Education.

Training Venue and Environment

The Client is responsible for ensuring that any venue, room, or environment provided for

the delivery of the Services is suitable, safe, and appropriate for the nature of the

training being delivered.

As a minimum, the training environment must:

- Be of adequate size to safely accommodate the number of Attendees booked,

the trainer, and any practical activities being undertaken

- Allow sufficient space for movement, practical demonstrations, and hands-on

participation without risk of injury

- Provide suitable seating and tables/workstations where required

- Be clean, private, and free from unnecessary interruptions, with no

unauthorised persons entering the training area

- Provide access to appropriate hand hygiene facilities where relevant to the

training

- Comply with all applicable health and safety requirements

Aspire Clinical Education reserves the right to refuse to commence, pause, or terminate

training if, in the professional judgement of the trainer, the venue or environment is

unsafe, unsuitable, or compromises learning outcomes, confidentiality, dignity, or safety.

Where training cannot proceed due to venue or environment issues outside of Aspire

Clinical Education’s control, the session shall be deemed to have been cancelled by the

Client and cancellation charges outlined in Section 5 shall apply.

4. ATTENDEE’S OBLIGATIONS:

Any sound or video recording by Attendees during classroom courses is strictly

prohibited. Any Attendees who are observed recording a classroom course will be

asked to delete the recording and will be asked to leave the course. The Client will not

be entitled to a refund in respect of any Attendees who breach this clause and are not

able to complete their training as a result. Unauthorised recording constitutes a breach

of intellectual property rights and confidentiality obligations.

Attendees must attend, engage, and participate fully throughout the entire content of the

course to obtain a certificate.

Attendees must display a good level of understanding and be able to communicate well

in English. The trainer has the right to refuse certification if in their opinion either an

understanding of the subject matter or the use of English is deemed below the required

standard.

It is the responsibility of the Client to ensure adequate travel time to the venue is

considered in case of traffic delays, accidents, adverse weather conditions, etc.

Attendees who arrive late for a course may be informed by the Trainer that they cannot

attend the remainder of the session as they have missed vital information from the

beginning of the session. In this instance, no refunds will be made.

Attending a course after a night shift is not advisable. Attendees who, in the trainer’s

view, cannot engage safely or effectively due to lack of rest will not be issued a

certificate; refunds or reschedules will not be offered in such cases.

5. PAYMENT CONDITIONS, CANCELLATIONS POLICIES, NON-ATTENDANCE,

AND AMENDMENTS.

The Client is obligated to remit the Fees to the Service Provider as outlined in the

Agreement in a prompt and timely manner as outlined in these Legal Terms. Invoices

are raised when the training course is booked and confirmed.

Aspire Clinical Education will issue invoices to the Client for the Fees owed in

accordance with the terms of the Agreement. Services will be billed through an invoice

with the confirmation of booking agreement.

The price provided is the price that will be invoiced regardless of the number of

Attendees placed on the course. Aspire Clinical Education implements a maximum of

10 Attendees per training session. Aspire Clinical Education does not offer discounts for

fewer participants attending. Aspire Clinical Education reserves the right to invoice an

additional amount for training where the agreed maximum number of participants has

been exceeded.

Payments for invoiced amounts must be completed within ten business days

prior to the training/service date. For multi-day training sessions, the total amount is

due ten business days from the earliest training date. Failure to provide payment within

ten business days of the scheduled date may result in termination of the agreement,

Client to be liable for late payment fees and legal action to be taken if necessary. For

example, a training course booked for Wednesday 19th February, would need to be paid

for by Wednesday 5th February.

If payment is not received within the specified timeframe, Aspire Clinical Education

reserves the right to charge a late payment fee of £20 per calendar day that the

invoice remains unpaid after the due date. This late fee represents a genuine preestimate of our administrative and scheduling costs and is not intended as a penalty.

This charge applies only to business Clients and reflects the estimated administrative

burden, disruption to scheduling, and potential loss of earnings caused by delayed

payments.

In addition, Aspire Clinical Education reserves the right to claim statutory interest and

reasonable compensation under the Late Payment of Commercial Debts (Interest) Act

1998, where applicable.

Any previously agreed discounts will be considered void if payment is not made by the

agreed due date. A revised invoice reflecting the standard rate and any applicable late

fees will be issued.

All payments required under the Agreement must be made in Pounds Sterling (GBP) as

cleared funds to a designated UK bank account outlined on the invoice.

No communication:

If Aspire Clinical Education does not receive a response from the client regarding

unpaid invoices by the due date, and this lack of communication continues up to three

days before the scheduled training, Aspire Clinical Education will consider the training

cancelled. In such cases, the client will be fully liable for the training fees in accordance

with the cancellation policy, including any applicable late payment charges. Should the

client resume communication within the final three days before the training date, Aspire

Clinical Education cannot guarantee delivery of the training as originally agreed. If

rescheduling is possible, the client will also be responsible for any additional

amendment fees incurred.

Non-attendance:

If the client has paid the invoice but does not attend the training on the scheduled date,

no refunds will be made.

Cancellation by Client:

If a client wishes to cancel a home visit or course booking, notification should be given

in writing via email to training@aspireclinicaleducation.co.uk.

All cancellations must be acknowledged by Aspire Clinical Education via email. Please

note that if you do not cancel in writing and/or do not attend, fees already paid will not

be refunded or transferable and any outstanding invoices will still be due.

The client will be liable for the following charges:

28 or more days notice: No charge

22 to 28 days notice: 30% of total cost

15 to 21 days notice: 45% of total cost

8 to 14 days notice: 60% of total cost

7 days or less notice: 100% of total cost

Non-attendance: 100% of the total cost, no refunds will be made.

If the Client requests date change which is accepted, then the Client requests a

cancellation, cancellation charges will apply as per original booking date.

Consumer Right to Cancel:

If the consumer is an individual booking (i.e., not a business), they have a legal right to

cancel their booking under the Consumer Contracts (Information, Cancellation and

Additional Charges) Regulations 2013 within 14 days without giving a reason. This

cancellation period will expire 14 days from the date of booking.

To exercise the right to cancel, the consumer must inform us of their decision in a clear

statement via email. If the consumer requests training to begin within the 14-day period

and later cancels, they may be liable to pay a proportion of the costs incurred. If training

is completed within the 14 days, the consumer will lose their right to cancel.

Cancellation by Service Provider:

Courses will only be cancelled by the service provider if terms and conditions have been

breached, if the trainer(s) have urgent personal matters which means the service cannot

be provided effectively or where there are safety concerns (including venue suitability)

that would prevent safe delivery. In a circumstance due to personal matters where no

other trainers are available, alternate dates will be arranged with no additional cost to

the client.

Amendments:

If a client wishes to change the date of a home visit or course booking, notification

should be given in writing via email to training@aspireclinicaleducation.co.uk.

The client will be liable for the following additional charges, per course, in which date

change is requested:

28 or more days notice: No charge

22 to 28 days notice: £60

15 to 21 days notice: £100

8 to 14 days notice: £150

7 days or less notice: £200

This will be invoiced on confirmation of date change and payment conditions outlined in

section 5 apply.

If Aspire Clinical Education fails to deliver Services with reasonable care and skill, you

may be entitled to a repeat performance, price reduction or refund in line with your

rights under the Consumer Rights Act 2015.

6. TERM AND TERMINATION:

Immediate termination of the Agreement is allowed by Aspire Clinical Education through

written notice if any payment due to that Party is not received by the specified due date

or the other Party breaches any provision of the Agreement and fails to rectify it within

30 Business Days (excluding weekends and UK public holidays) after receiving written

notice detailing the breach.

Courses that have been booked are not permitted to be resold or provided to any other

organisation without the prior knowledge or consent of Aspire Clinical Education.

Violation of this policy may lead to the cancellation of the course or the removal of

participants, and if a discounted rate was applied, the full price will be charged for the

course.

7. LIABILITY, INDEMNITY, AND INSURANCE.

Aspire Clinical Education must always maintain appropriate and valid insurance

coverage, which includes public liability insurance. Aspire Clinical Education holds

active Public Liability Insurance and Professional Indemnity Insurance, as applicable to

our services. Copies of insurance certificates can be provided to Clients upon request.

This insurance ensures that our services are delivered with protection for both Aspire

Clinical Education and the Client in the unlikely event of a claim.

Should Aspire Clinical Education not execute the Services with adequate care and skill,

they are obligated to undertake all necessary corrective measures at no extra cost to

the Client.

Aspire Clinical Education shall not be held responsible for any loss or damage incurred

by the Client due to the Attendee’s failure to adhere to the instructions provided by

Aspire Clinical Education.

Attendance of training forms part of the process to gaining competence in a skill.

Training sessions do not equate to competence and Aspire Clinical Education takes no

responsibility for determining competence in a skill after training alone.

Nothing in these Terms limits or excludes Aspire Clinical Education’s liability for:

- Death or personal injury caused by our negligence

- Fraud or fraudulent misrepresentation

- Any matter which cannot legally be limited or excluded

Subject to the above, we shall not be liable for:

- Loss of profits, revenue, or business

- Loss or corruption of data

- Loss of anticipated savings

- Indirect or consequential losses

This clause does not affect your statutory rights under the Consumer Rights Act 2015.

The Client shall indemnify Aspire Clinical Education against any costs, liabilities,

damages, losses, claims, or proceedings resulting from loss or damage to any

equipment, including that of third parties engaged by Aspire Clinical Education, caused

by the Client or its representatives.

8. FORCE MAJEURE

Neither Aspire Clinical Education nor the Client shall be liable for failure of or delay in

performing obligations set forth in this Agreement, and neither shall be deemed in

breach of its obligations, if such failure or delay is due to natural disasters or any causes

beyond the reasonable control of either Party. In the event of such force majeure, the

Party affected thereby shall use reasonable efforts to cure or overcome the same and

resume performance of its obligations hereunder.

A Force Majeure Event includes, but is not limited to:

- acts of God (such as floods, storms, earthquakes),

- pandemics or epidemics (including COVID-19 or similar health emergencies),

- war, terrorism, civil unrest, or armed conflict,

- acts of government or regulatory authorities,

- strikes, lockouts, or other industrial action,

- fire, explosion, or accident,

- failure of suppliers, transport, or utilities,

- internet or IT system failures beyond the control of the affected Party.

9. CONFIDENTIALITY AND PRIVACY POLICY

By using our Services, you agree to our Privacy Policy which outlines how we handle

your data in compliance with the UK General Data Protection Regulation (UK GDPR)

and the Data Protection Act 2018.

We collect and process your data for the performance of the contract and for service

delivery. We retain your information only as long as necessary and never share your

data without lawful basis. You may request access, correction, or deletion of your data

at any time by contacting training@aspireclinicaleducation.co.uk.

Aspire Clinical Education is committed to full compliance with the UK General Data

Protection Regulation (UK GDPR) and the Data Protection Act 2018. All personal

information collected during the course of service provision will be processed lawfully,

fairly, and transparently, and only for the purposes for which it was obtained.

Clients and Attendees have the right to access, rectify, restrict, or erase their personal

data, and to object to its processing. All data is stored securely, and access is limited to

authorised personnel only. Data will not be shared with third parties unless required by

law or with the explicit consent of the data subject. Further details can be found in our

Privacy Policy.

Neither Party will disclose any Confidential Information to any other party.

Confidentiality will be maintained and only breached where there is a safeguarding

concern, in which the safeguarding policy will be followed. We reserve the right to

breach confidentiality where there is a legal duty to disclose, such as under the Children

Act 1989, the Care Act 2014, or where there is a safeguarding concern. Please review

our Safeguarding Policy.

Aspire Clinical Education will not take photographs, video, or audio recordings of

Attendees for marketing, promotional, or educational purposes without appropriate

consent.

10. DISCLAIMER

The Client must inform the training attendees of the following disclaimer and ensure

they comply and agree:

‘By participating in this training, you recognise that your involvement is voluntary and

that you accept all risks related to the activities, including potential injuries. You commit

to adhering to all safety guidelines and instructions given and to promptly inform the

trainer of any issues or dangers. You must only work within the remits of your

competence and skill set, attendance of this training does not deem competence. You

must only participate within the remit of your physical ability. The materials presented in

this training are intended solely for informational purposes and should not be interpreted

as legal advice. Aspire Clinical Education disclaims any responsibility for inaccuracies

or omissions in the information provided.’

11. CERTIFICATION

Certificates are valid for a period of one year unless otherwise stated.

Certificates confirm attendance only and must not be used as evidence of authorisation

to practice.

Certificates are issued to named individuals only and are non-transferable.

Certificates will only be released to the client upon receipt of full payment and following

attendance of training day.

Certificates will be delivered electronically in PDF format. Physical certificates can be

supplied at cost of £15 per certificate.

The Client will provide Aspire Clinical Education with a list of attendee names for

registration and certification. Aspire Clinical Education will follow exact spelling and

grammar from this list. No name changes due to spelling or grammatical errors will be

provided to printed certificates unless this is fault of Aspire Clinical Education.

Aspire Clinical Education reserves the right to charge an administration fee of £5 for

each lost digital certificate requiring replacement.

12. COMPLAINTS

Complaints should be submitted in writing within 2 months of the issue occurring via

email to training@aspireclinicaleducation.co.uk, detailing all relevant information.

Complaints received after this period may not be considered. We aim to respond within

10 working days, if more time is required to investigate the matter fully, we will notify

you within this timeframe with an expected resolution date.

Before commencing legal proceedings, both Parties agree to consider resolving any

disputes through an alternative dispute resolution process, such as mediation.

Participation in ADR shall not be mandatory but may be used to avoid court

proceedings where appropriate.

If Aspire Clinical Education is unable to resolve a complaint to the Client’s satisfaction,

the Client may be entitled to use an Alternative Dispute Resolution (ADR) provider.

Aspire Clinical Education is not obliged to participate in ADR. UK consumers may also

seek independent advice from Citizens Advice or Trading Standards.

Nothing in this section affects statutory rights.

13. EQUALITY, DIVERSITY, AND REASONABLE ADJUSTMENTS

Aspire Clinical Education is committed to promoting equality, diversity, and inclusion in

all areas of its service delivery. We do not tolerate discrimination based on age,

disability, gender reassignment, marriage or civil partnership, pregnancy or maternity,

race, religion or belief, sex, or sexual orientation.

We are happy to make reasonable adjustments to ensure that individuals with

disabilities or other access requirements can fully participate in our training and

consultancy services. Clients are encouraged to notify us of any specific needs as early

as possible so that appropriate accommodations can be arranged.

We will make reasonable adjustments upon request to ensure access to our services for

individuals with disabilities, in accordance with the Equality Act 2010

14. CARE PLANNING, RISK ASSESSMENTS AND NURSING CONSULTANCY:

Aspire Clinical Education offers a consultancy-based service to support CQC-registered

care providers and commissioning organisations with the development of advisory,

client-centred care plans and risk assessments.

Aspire Clinical Education prepares care plans and risk assessments only upon the

written instruction and authorisation of the commissioning care provider or organisation

that is responsible for delivering the care and supplying staff to the client.

All care plans and risk assessments are produced to support governance and continuity

of care and do not constitute clinical authorisation, delegation, or approval of care.

Responsibility for the review, approval, implementation, authorisation, and

ongoing clinical oversight of any care plan or risk assessment always remains

solely with the commissioning care provider or responsible clinician.

To support information gathering, Aspire Clinical Education may contact the service

user, their family, or a nominated representative and may undertake a home visit where

appropriate. Any home visit is carried out solely for information-gathering purposes on

behalf of the commissioning care provider and does not constitute clinical assessment,

care delivery, treatment, or regulated activity.

Fees, Access & Cancellations:

Payment terms, cancellation, and amendment charges apply as outlined in Section 5 for

Home Visits and Care Plan Assessments. Prices for home visits vary depending on

location, duration, and the complexity of the assessment.

If Aspire Clinical Education arrives for a scheduled home visit and access is not

granted, reasonable attempts will be made to contact the Client, family, or

commissioning organisation. Where access is delayed beyond twenty (20) minutes,

additional waiting or travel charges may apply. Where the visit cannot proceed due to a

no-show or lack of access, no refund will be issued.

Home visits vary in duration according to client need, and complex cases may take up

to four (4) hours. Clients are required to allow sufficient time to enable a full and

comprehensive information-gathering process.

Delivery, Review & Amendments

Aspire Clinical Education aims to issue completed care plans and/or risk assessments

within ten working days of receiving all necessary information. Documents are issued

electronically in password-protected PDF format and handled in accordance with the UK

GDPR and Data Protection Act 2018.

The commissioning care provider or Client is responsible for reviewing the documents

and notifying Aspire Clinical Education of any factual inaccuracies or required

amendments within ten working days of receipt. Reasonable corrections will be made

free of charge within this period.

Aspire Clinical Education accepts responsibility only for the accuracy of information

captured at the time of the assessment or home visit. Aspire Clinical Education does not

reassess, monitor, or update care plans following delivery unless a further paid review is

commissioned. Where updates are required due to changes in condition, care needs,

equipment, or environment, additional charges will apply.

Scope of Advice & Professional Boundaries

Aspire Clinical Education may provide professional advice and guidance on a

consultancy basis. Aspire Clinical Education does not diagnose, prescribe medication,

provide treatment plans, or deliver clinical interventions, and does not replace medical

or multidisciplinary clinical input.

Any advice provided is for informational and governance-support purposes only and

does not constitute medical diagnosis or treatment. The commissioning care provider

remains responsible for ensuring appropriate clinical review, escalation, and medical

involvement where required.

Aspire Clinical Education does not guarantee clinical outcomes or effectiveness of

guidance provided. Responsibility for decision-making and care delivery remains with

the commissioning care provider and responsible clinicians.

Regulatory Position & Liability

Aspire Clinical Education does not carry out regulated activities as defined by the

Health and Social Care Act 2008 and is not required to be registered with the Care

Quality Commission (CQC).

To the fullest extent permitted by law, Aspire Clinical Education shall not be liable for

any loss, injury, harm, damage, or claims arising from the implementation,

interpretation, or use of care plans, risk assessments, or advisory documentation, where

such implementation occurs under the governance, supervision, and control of the

commissioning care provider.

Nothing in these terms excludes or limits Aspire Clinical Education’s liability for death or

personal injury caused by negligence, fraud or fraudulent misrepresentation, or any

other liability which cannot lawfully be excluded, nor affects the obligation to provide

services with reasonable care and skill.

Representation and Professional Accountability

Any nurse, assessor, or educator providing services on behalf of Aspire Clinical

Education does so solely in their capacity as an authorised representative of Aspire

Clinical Education. All such activities are governed by Aspire Clinical Education’s

policies, professional indemnity insurance, and internal governance framework.

Nurses and educators operate within their professional scope of practice and in

compliance with the Nursing and Midwifery Council (NMC) Code (2018). They provide

education, assessment, and advisory input only and do not assume clinical

responsibility or duty of care for service users.

Aspire Clinical Education accepts responsibility for ensuring its representatives are

appropriately qualified and insured for their training and assessment duties. Individual

staff members acting within this defined scope shall not be held personally liable for

outcomes or decisions made by the commissioning organisation, employer, or client

following training, assessment, or consultation.

15. COMPETENCY SUPPORT SERVICE

Aspire Clinical Education supports healthcare staff and caregivers through robust

competency assessment, using a range of assessment methods embedded throughout

training. Learning is continually evaluated through discussion, scenario-based activities

and skills practice, with final competency confirmed through direct observation of

practice in line with relevant professional and regulatory standards.

During competency assessments, Aspire Clinical Education confirms that, at the date

and time specified on the relevant documentation, the trainer observed the individual

complete the assessed skill safely and demonstrate appropriate underpinning

knowledge and rationale. Assessment reflects performance observed at a specific point

in time, under training or controlled conditions only, and does not constitute a guarantee

of future competence, performance, or safe practice in any workplace setting.

All responsibility for the authorisation, delegation, supervision, delivery of care,

ongoing competence, conduct, and performance of staff rests solely with the

employer or commissioning organisation. Aspire Clinical Education’s observation

and assessment does not constitute authorisation, delegation, or approval to perform

any procedure in practice. Responsibility for ensuring staff are fit for practice, work

within their scope of role, and comply with all applicable legal, regulatory, and

organisational requirements remains with the employing organisation or responsible

clinician.

Where competency assessment is included as part of the service, sign-off is not

guaranteed and is dependent upon the individual demonstrating safe and competent

practice in line with the learning outcomes and assessment criteria for the session.

Where, in the professional judgement of the trainer, the required standard is not met,

competency sign-off will be withheld in the interests of safety and best practice.

In such circumstances:

• the training and assessment session will be deemed to have taken place, and

fees remain payable in full

• clear verbal feedback will be provided outlining areas requiring further

development

• written feedback and recommendations may be provided where appropriate

• additional training, supervised practice, or reassessment may be recommended

prior to reconsideration of competency sign-off

Any additional training or reassessment will be subject to separate booking and

additional fees. All decisions regarding competency sign-off are made in accordance

with professional standards, duty of care, safeguarding responsibilities, and regulatory

expectations.

Competence is time-limited and must be reassessed at regular intervals, or sooner

where a skill has not been practised, where procedures, equipment, or guidance

change, or where concerns arise regarding performance. Competencies must be

reviewed at least annually, and refresher training should be undertaken as required to

maintain safe practice and professional development.

Competency assessment is based on the information, care plans, and procedures

provided at the time by the employing organisation or responsible clinician. Aspire

Clinical Education is not responsible for omissions, inaccuracies, or changes not

disclosed prior to assessment. Assessment reflects practice using the equipment,

products, and procedures presented at the time and does not extend to variations in

equipment, environments, or client presentation.

Where assessment involves observation with a client, Aspire Clinical Education requires

confirmation that valid consent has been obtained, and that dignity and privacy

requirements are met. Assessment may be declined where these standards cannot be

assured.

Where care tasks are delegated to private, agency, or directly employed care staff,

responsibility for the decision to delegate, the appropriateness of delegation, and the

level of supervision required rests solely with the delegating organisation or responsible

clinician. This includes, but is not limited to, tasks delegated by NHS Trusts, Integrated

Care Boards (ICBs), General Practitioners, community nursing teams, or any other

statutory or commissioning healthcare body.

Aspire Clinical Education does not delegate clinical tasks, does not authorise practice,

and does not assume responsibility for clinical delegation decisions. Training,

assessment, or competency sign-off must not be interpreted as evidence that a task has

been appropriately delegated or approved for practice by any healthcare organisation.

Where applicable, competency assessment is undertaken in reference to an existing,

authorised care plan and agreed procedures provided by the employing organisation or

responsible clinician.

It remains the responsibility of the delegating organisation and/or responsible clinician

to:

• determine whether delegation is appropriate

• ensure staff are suitably trained and competent

• provide ongoing supervision and review

• ensure delegation complies with relevant professional standards, local policies,

and NHS guidance

Aspire Clinical Education does not provide direct clinical care, does not enter into a

clinical relationship with service users, and does not deliver clinical interventions or

treatment. All services are provided for education, training, and assessment purposes

only.

Aspire Clinical Education is not responsible for maintaining or updating competency

records beyond the date of assessment. Responsibility for record storage, review,

governance, and ongoing monitoring rests with the employer.

Disclaimer:

To the fullest extent permitted by law, Aspire Clinical Education shall not be liable for

any loss, injury, harm, damage, or claims arising from the subsequent actions,

omissions, or performance of individuals following training or competency assessment,

where such matters fall under the control, supervision, or responsibility of the employer

or commissioning organisation. Aspire Clinical Education may, upon request, provide

factual confirmation of training or competency assessment delivered but does not

investigate incidents, determine causation, or assume responsibility for incident

management, which remains the responsibility of the employing organisation and

responsible clinician.

Nothing in these terms excludes or limits liability for death or personal injury caused by

negligence, fraud or fraudulent misrepresentation, or any other liability which cannot

lawfully be excluded, nor affects the obligation to provide services with reasonable care

and skill. This disclaimer reflects the principles of the Nursing and Midwifery Council

(NMC) Code (2018) and current Care Quality Commission (CQC) expectations

regarding training, competency assessment, delegation, and governance.

This agreement and all related services are governed by the laws of England and

Wales, and any disputes shall be subject to the exclusive jurisdiction of the courts of

England and Wales.
